Job Description

A nationally recognized law firm with a strong presence across six major U.S. markets, is seeking a Partner-Level Fund Formation Attorney with a minimum of seven years of experience and a portable book of business to join its New York City or Washington, D.C. offices. This is a unique opportunity to join a collaborative and forward-thinking legal team that advises some of the country's leading investment firms and fund sponsors.

The ideal candidate will have deep experience in the formation and structuring of private investment funds, including those focused on private equity, real estate, venture capital, and other illiquid asset classes. You will work closely with a cross-office team of attorneys on complex fund-related matters, including regulatory compliance, investor negotiations, and governance issues.

Key Responsibilities:

  • Lead the formation and structuring of private investment funds (e.g., venture funds, private equity, real estate, crypto venture funds).
  • Draft and negotiate fund documentation (LPAs, subscription agreements, PPMs).
  • Advise clients on fund structuring, capital raising, and regulatory compliance.
  • Counsel fund managers and investors throughout the fund lifecycle.
  • Navigate SEC regulations (Investment Company Act, Investment Advisers Act, etc.).
  • Support M&A, joint ventures, and other corporate transactions involving fund clients.
  • Participate in business development and client relationship management.

Qualifications:

  • J.D. from an ABA-accredited law school.
  • Active license to practice law in New York or District of Columbia.
  • Minimum of 7 years of experience in private fund formation and related legal work.
  • A portable book of business valued at $500,000 or greater is required.
  • Demonstrated expertise in private equity, venture capital, real estate, or other illiquid asset classes.
